For more than twenty-five years, I have been helping clients deal with complex and difficult disputes involving their business partners.

Consultation with Shareholders and Partners

I counsel both shareholders and corporations prior to the commencement of litigation so that they may resolve disputes and legal issues without going to court or be best prepared to prevail if litigation becomes unavoidable. I advise minority shareholders on their rights and assist them in addressing potentially oppressive behavior, in particular the withholding of corporate information. I also assist majority shareholders in avoiding the traps and mistakes that can result in significant exposure.

Consultation with Other Lawyers

I am frequently asked to consult with other counsel on on-going shareholder oppression matters to act as co-counsel or as a resource. I assist other attorneys and their clients in best positioning themselves for success in litigation, choosing the best litigation strategy and strongest legal theories, and avoiding pleading and jurisdictional issues that are unique to shareholder oppression and derivative claims.

Shareholder Oppression, Derivative and Partnership Litigation

I am a trial lawyer. I am ready, willing and able to represent my clients in the courtroom and take a matter through trial and appeal if necessary. My goal is always to achieve justice and the best result the law permits for my clients. Many lawyers and judges are not familiar with the area of shareholder oppression, and my knowledge and reputation in this area of the law frequently proves an advantage to my clients.

Commerical Litigation

In addition to work in our primary area of shareholder oppression, I also litigate a wide range business disputes for my clients, such as breach of contract, fraud, employment disputes, landlord-tenant disputes, defamation, and the like.

More About Me

I founded this law firm in 2006 with the idea of creating a practice devoted to the unique legal needs of shareholders in closely-held corporations. The fiduciary responsibilities owed to minority shareholders and the shareholder oppression cause of action are new and evolving. Many lawyers don’t know this area of the law, and we have found that knowledge makes the difference in successfully prosecuting these claims. I have devoted countless hours to researching and writing in this area, including the Shareholder Oppression Blog and the information on this website, which is the most comprehensive free resource available to shareholders in the nation. At Fryar Law Firm, we don’t just claim to know our stuff, we demonstrate it.
