I represent shareholders and business partners in disputes relating to their ownership interests and in other business litigation.

Pre-litigation Consultation

I advise shareholders and partners regarding their legal rights and responsibilities in their businesses. I assist clients in assessing the merits of their claims and preparing for litigation. I also obtain for my clients access to corporate records and information to which they are entitled. Frequently, we are able to resolve disputes early and avoid the need for litigation.

Litigation Involving Shareholder Oppression and Derivative Claims

I represent minority shareholders and partners in court on their claims for fair treatment by the majority. I pursue shareholder derivative claims for my clients, which address wrong-doing against the corporation, such as misappropriation of company assets and business opportunities. I also prosecute shareholder oppression claims, which typically seek a buy-out of my client’s stock at a fair price.

I defend majority business owners who are accused of oppression. I also represent business owners in a variety of other civil litigation matters, such as breach of contract, fraud, employment disputes, and the like.

I am passionate about our mission of protecting the rights of shareholders. This is a complex and evolving area of the law that many attorneys really do not understand. We believe that knowledge makes the difference, and I spend a significant amount of time each month researching and writing on the topic of shareholder oppression, in addition to the work that I do for my shareholder clients.

In addition to my work in trial court, I also handle all of the appellate work at the firm.
